Hello

I have modeled a prey model in blender2.49b for someone.
Then I have rigged it.

The rig comes out fine in blender; however, it looks like this in game:



Things I have tried:
- re-rigging (millions of times)
- scaled to Obj Data
- Weight painted (especially over the area it needs to be weight painted on)
-I made sure the obj center is correct.
-cleared the center and placed it in correct spot

None of these work.

Is there something that I missed or does this model just not want to be rigged? x_x

It looks like a weight-painting issue, but if you've already tried that... you could try removing doubles. Edit Mode > W > Remove Doubles uh might be blocking some of the weightpainting or generally causing issues. 

Move the prey model around the workspace and see if any verts move incorrectly like in the screenshot (obviously moving it around will mess it up being connected to the rig, but I find doing this very helpful in finding areas I may have missed in weightpainting. Especially areas that are either highly detailed or have a lot of individual parts, e.g. teeth.)

theres a step with weightpainting check it out
theres some tips that you'll need to fix your problem

For anyone who has a problem like this in the future:
Solution: Do both of what ShadoWolfozo and Witacha mentioned in the comments above.
